4.USER ACCOUNTS

To access the Website and upload Content and/or purchase coins and subscription(s) to a Creator’s Content, each User shall be required to create a user account on the Website (hereinafter referred to as the “User Account”). 

To create a User Account, the User shall provide its current and valid email address. The User Account may be secured by a password. The password to the User Account should remain confidential and personal to the User. 

In case of any security breach or compromised password, please notify UniFans by sending an email or selecting the appropriate option on the Website.

4.1 Provision of Information

Upon creating a User Account on the Website, the User confirms that all information provided by the User on the Website and as part of the User Account is true, complete and current. The User further confirms that it has not had a User Account on the Website that was terminated or suspended by UniFans in the past. Lastly, the User warrants that it shall not transfer its User Account, or sell, lease, lend, or assign it to a third party.

4.2 Responsibility for User Accounts

Each User shall be responsible for all acts, content, and omissions arising out of or relating to its User Account. The User shall be held liable for any purchases and charges incurred by or using its User Account

.While UniFans has implemented strict security measures, UniFans is unable to guarantee that User Accounts shall be fully secure and protected against unauthorized access at all times. Consequently, the User shall assume all risks associated with its communications, exchanges, usage, uploads or actions on or using its User Account as well as the User’s provision of personal information.

4.3 Termination 

UniFans reserves the right to revoke or terminate a User Account if the User has acted in a way that is contrary to these Terms and Conditions. All ongoing provisions of these Terms and Conditions shall remain applicable and binding, even following the termination of the User Account, including provisions relating to intellectual property, disclaimers and warranties, and limited liability.

.Users acknowledge and agree that if UniFans terminate a User’s User Account, the User shall waive any resources or claims the User may have against UniFans. The User further releases UniFans from all liability in connection with the termination of the User Account.

5. Creators

5.1 Verification of Creator

While UniFans may, at its discretion, verify the Creator’s identity prior to permitting the Creator to upload Content and offer subscriptions on the Website, Unifans shall be under no obligation to do so. Upon UniFans’ approval of the Creator, the Creator shall be granted access to specified tools targeted to Creators as provided on the Website, thereby allowing the Creator to publish Content on the Website, and receive compensation for subscriptions to such Content.

5.2 Subscription Packages and Provision of Content

The Creator shall be responsible for providing a thorough and accurate description of the Content to be provided as part of a subscription package. The Creator may not delete a membership plan if Fans have already subscribed to such plan. The Creator shall ensure the Content published as part of a subscription package complies with the descriptions provided by the Creator. The Creator shall remain reasonably available to respond to Fan inquiries, requests and questions.

 Creators shall be responsible for publishing, posting and updating Content on their home page on an ongoing basis according to a predetermined frequency. The Creators shall ensure the Content uploaded and published complies with the requirements set forth in these Terms and Conditions.

5.3 Creators’ Compensation

Creators shall benefit from the full discretion to set the pricing for subscriptions to their Content on the Website. Creators shall then be entitled to receive ninety-five percent (95%) of the subscription income, acknowledging UniFans shall retain a five percent (5%) service fee.

 Creators acknowledge that to withdraw funds, Creators shall be required to proceed by way of a third party service platform, which may charge an additional withdrawal fee based upon the withdrawal method and the currency of the withdrawn amount.

All compensation for subscriptions paid by Fans on the Website shall be paid to the Creator without UniFans withholding any taxes. The Creator shall be solely responsible for and shall make proper and timely payment of applicable income and other taxes imposed on payments received, such as the Creator’s income tax and self-employment tax.

UniFans reserves the right to withhold any compensation due to the Creator, in full or in part, if: (i) the Creator breached any provision of these Terms and Conditions, (ii) the Content provided by the Creator is illegal, unlawful or inappropriate, or (iii) UniFans has reason to believe the Creator violated these Terms and Conditions. Insofar as reasonably practicable, UniFans shall notify the Creator of the withholding and the reason to support such withholding. UniFans may release the withheld portion of the Creator’s compensation once the issue has been resolved by the Creator to UniFans’ full satisfaction.

6. FANS



Fans shall have the option of purchasing a monthly subscription to one (1) or more Creators’ pages and Content. Fans may also purchase a permanent subscription, which shall be in effect indefinitely. Unless the Creator has granted its prior written consent, the Content may not be shared, distributed or otherwise distributed by the Fan. The Fan thereby agrees to use the Content solely for personal purposes, and not for business or commercial reasons.

The monthly subscription to a Creator’s Content shall be paid by the Fan by way of coins sold on the Website. The coins shall serve as currency to make purchases on the Website. The Fan may proceed with recharging coins available to make additional or further purchases on the Website.

7. Content

All Content published on the Website shall be relevant, appropriate, current and thorough. Unless otherwise specified by UniFans in advance, Content may relate to any field, without restriction, provided it complies with these Terms and Conditions. Nonetheless, UniFans encourages Creators to publish Content consisting of articles, novels, illustrations, comics, cosplay images, podcasts and game mods.

UniFans does not accept Content that constitutes or is:

1. Excessive explicit or distorted sexual expressions.
2. Highly provocative and disgust-inducing or inappropriate violent or cruel expressions.
3. Glorification of extreme ideologies or anti-social behaviors.
4. Glorification of discrimination based on race, belief, occupation, gender, religion, etc.
5. Glorifies or encourages activities similar to cult-like religious activities or excessive political activities.
6. Violation of others' privacy, insulting or defaming others, infringing on others' legal rights.
7. Infringement on others' reputation rights, portrait rights, intellectual property rights, trade secrets, and other legal rights.
8. Infringement on the legitimate rights and interests of minors or harm to the physical and mental health of minors.
9. Otherwise unsuitable or problematic, as determined by UniFans.

7.1 Liability for Content

Creators shall be solely responsible for any Content they publish on the Website. Creators shall be responsible for publishing Content that constitutes their own intellectual property. If the Content is not the uploading Creator’s property, the uploading Creator shall be required to obtain all necessary consents and permissions to post such Content prior to its publication.

 Creators shall further be responsible for taking all necessary precautions to ensure the Content published does not violate any third party rights or any intellectual property laws. A Creator may be held personally liable if the Content published by the Creator violates these Terms and Conditions or any third party right.

 7.2 License to Content 

Creators hereby grant UniFans and its affiliates a nonexclusive, worldwide, perpetual, irrevocable, royalty-free and transferable license to use, publish, distribute, modify and commercialize any Content published on the Website, in any and all media or form of communication whether now existing or hereafter developed, without obtaining additional consent, and without restriction.

 UniFans reserves the right to edit, delete, or remove Content for any reason UniFans deems proper or appropriate, at its sole discretion.

7.3 Content Disclaimers 

Any opinions or views elaborated in the Content may not reflect UniFans’ views or opinions. The opinions or views elaborated in the Content shall remain the views of the uploading Creator. UniFans may not provide any guarantees as to the identity of the Creators or the veracity of the Content.

 UniFans cannot offer any guarantees with respect to the legitimacy, suitability, integrity or quality of the Content published on the Website. Considering the Content shall be uploaded by Creators, UniFans declines all responsibility for Content published on the Website. UniFans declines all liability if the Content: (i) violates applicable laws, (ii) is of poor quality, (iii) is unlawful, illegal, defamatory or otherwise distasteful, (iv) contains errors or is otherwise inaccurate, or (v) infringes any provision contained in these Terms and Conditions.

11. DISCLAIMERS AND LIMITED WARRANTIES

11.1 Risks Associated with File Downloading or Accessing

Users acknowledge that any files downloaded or transmitted via the Internet are never fully secure. As such, UniFans is unable to guarantee or warrant that all files, Content and information accessible on the Website shall be free of harmful components. Users further acknowledge that no website, including the Website operated by UniFans, is fully protected against attacks, hacking, intrusion and unauthorized interference. 

In consideration thereof, UniFans encourages Users to implement safety and security measures to protect their personal information from unauthorized access and attacks. Such measures may include maintaining an active antivirus protection, securing data on an external drive or on a server external to the Website. Users understand that UniFans shall not be responsible for any damage or loss caused to the device used by the User to access the Website. 

11.2 No Warranties

The Website and the Content provided thereon shall be offered “as is” basis and “as available”, without warranties of any kind. UniFans shall not provide any of the following implied warranties with respect to the Website and the Content: implied warranties of title, non-infringement, and fitness for a particular purpose, and warranties implied by any course of performance or usage of trade. UniFans cannot guarantee the Website and its Content shall meet Users’ needs or expectations.

12. PRIVACY POLICY AND PERSONAL INFORMATION

UniFans’ Privacy Policy, as published on the Website, is expressly incorporated in these Terms and Conditions by reference. Personal information provided on the Website shall be governed by the terms of the Privacy Policy. The Privacy Policy shall detail how UniFans collects, uses, stores and handles personal information and data obtained from the Website.

14. INDEMNIFICATION

The User agrees to indemnify and hold UniFans, its agents, employees, officers, and affiliates harmless from and against all losses, damages, liabilities, costs and expenses in connection with any claims, actions, proceedings, investigations, loss, fines, penalties, fees, charges, damages, or suits brought by a third party, arising out of (i) the User’s usage of the Website; (ii) the User’s negligence, recklessness or intentionally wrongful act(s), (iii) any breach of any covenant, agreement or obligation of the User under these Terms and Conditions; (iv) any incorrectness in a representation or warranty made by the User in connection with these Terms and Conditions; or and/or (v) the User’s execution or non-performance of its obligations under these Terms and Conditions. The User’s indemnification obligations towards UniFans shall not apply in case of fraud or gross negligence committed by UniFans.

If UniFans shall, without fault on its part, be made a party to any litigation commenced by or against a User, then the User shall protect, indemnify and hold UniFans harmless and shall pay all costs, expenses and reasonable legal fees incurred or paid by UniFans in connection with such litigation.
